This Agreement is between you ("Patient") and MDside PLLC , a Wyoming corporation operating in Florida. By accepting these terms, you agree to be legally bound by all provisions.
1. Services and Payment Terms
What You're Purchasing: You are purchasing medical consultation services, not products. Our services include provider evaluation, clinical documentation, and, when medically appropriate, prescription submission to licensed pharmacies.
Payment Policy: All consultations are billable upon completion, regardless of prescription outcome. We operate as a cash-pay clinic — you are responsible for all charges regardless of insurance coverage.
Subscription Services: Most services are subscription-based with automatic recurring billing until canceled in writing. The $299 3-Month Semaglutide Starter Program is Not A Subscription. This program does not have any membership fees and is not reoccurring. This package is a one-time purchase.
Cancellation Deadline: All subscription cancellations must be submitted at least five (5) business days before the next scheduled payment date.
Requests received within five business days of billing will not stop the current cycle and will only apply to the following cycle.
Once a payment has been processed, no refunds will be issued for that billing period.
Refund Policy: Due to the nature of medical services and federal law (21 CFR §203.23), refunds are not available once your consultation begins or prescriptions are dispensed. All prescription medication sales are final. The only exception to this is in the case of disqualification.
2. Privacy Protection and HIPAA Compliance
Your Privacy: We protect all Protected Health Information (PHI) in full compliance with HIPAA regulations (45 CFR §164.500-534). Records are encrypted, stored securely in the United States, and retained for at least six years.
Limited Disclosure: PHI may be disclosed only for treatment, payment, healthcare operations, and as required by law (45 CFR §164.506).
Dispute-Related Disclosure: If you initiate a payment dispute, chargeback, or legal claim, you consent to limited disclosure of relevant medical records, including SOAP notes, intake forms, ID verification, and shipping logs, as permitted under HIPAA (45 CFR §164.512(e)).
3. Prescription Fulfillment and Shipping
Pharmacy Partnership: We do not stock or ship medications. Licensed U.S. pharmacies fulfill and ship all prescriptions independently.
Your Responsibility: Once a pharmacy ships your prescription, you assume all risk for delivery delays, courier issues, address errors, weather disruptions, or manufacturer shortages.
No Returns: Federal law prohibits the return or refund of dispensed prescription medications under any circumstance.
No Pauses, Redirections, or Address Changes:
Shipments cannot be paused, held, redirected, or rerouted once processed.
Prescriptions will ship only to the address on file at the time of order processing.
It is the patient's responsibility to ensure their shipping address is accurate and current before the billing date and order processing.
MDside PLLC and its partner pharmacies will not change, override, or manually update delivery addresses once a prescription has been processed.
Replacement Policy: Replacements (not refunds) will only be considered in cases of:
shipping damage reported within 48 hours with photos, incorrect medication shipped, or manufacturer recall.
4. GLP-1 Medication Initiation & Dosing Policy
If you are not currently on a GLP-1: You will begin at the standard starting dose for the medication selected, titrated as follows:
Semaglutide (compounded): ~0.25 mg weekly × 4 weeks → 0.5 mg weekly × 4 weeks → 1.0 mg weekly × 4 weeks. (Note: exact vial sizes may vary by compounding pharmacy; "~" reflects equivalency across suppliers.)
Tirzepatide (compounded): 2.5 mg weekly × 4 weeks → 5.0 mg weekly × 4 weeks → 7.5 mg weekly × 4 weeks. (Note: exact vial sizes may vary by compounding pharmacy; "~" reflects equivalency across suppliers.)
If you are already on a GLP-1:
You will be advanced to the next titrated dose unless you are already at maximum dose.
At your request, you may remain on your current dose if medically appropriate.
5. Dispute Resolution and Legal Terms
Contact First: Before filing any payment dispute, you agree to contact us at [email protected]. We respond within 5 business days.
Arbitration Agreement: Any disputes will be resolved through binding arbitration under the Federal Arbitration Act in Florida. You waive the right to jury trial and class action participation.
Governing Law: This Agreement is governed exclusively by the laws of the State of Florida. Legal proceedings must be brought only against MDside PLLC as an entity, not individual employees or providers.
Fraud Prevention: Fraudulent chargebacks or misuse of services may violate federal wire fraud laws (18 U.S.C. §1343) and bank fraud statutes (18 U.S.C. §1344). Such actions will be pursued to the fullest extent of the law.
6. Professional Standards, Compliance, and Agreement Modifications
Regulatory Compliance: We comply with HIPAA, the Prescription Drug Marketing Act (21 CFR Parts 203 & 205), the Federal Food Drug & Cosmetic Act, the Florida Telehealth Act (Fla. Stat. §456.47), and PCI-DSS payment security standards.
Confidentiality: All forms, protocols, and processes are proprietary.
Electronic Records: Your electronic acceptance, including digital signatures and timestamps, constitutes legally binding consent under the ESIGN Act (15 U.S.C. §7001).
Force Majeure: We are not liable for delays caused by events outside our control, including pandemics, natural disasters, government actions, or supply chain disruptions.
Agreement Updates: We may modify these terms with 30 days' email notice. Continued use of our services after notice constitutes acceptance.
Public Statements & Reviews
Patients agree not to publish, post, or disseminate any false, misleading, or defamatory statements about MDside PLLC , its providers, affiliates, or partner pharmacies, including but not limited to online reviews, Better Business Bureau (BBB) complaints, social media posts, or other public forums.
Honest, good-faith feedback is welcome. However, knowingly posting false or malicious content with the intent to harm our reputation, interfere with our business, or mislead others will be treated as defamation and business interference.
By signing this Agreement, you acknowledge that doing so constitutes a breach of contract and agree that MDside PLLC may seek all available remedies, including monetary damages, attorney's fees, injunctive relief, and reporting to credit and fraud authorities.
Patients further waive any claim that such enforcement violates rights to free speech, as this Agreement is a voluntary, legally binding contract.

By purchasing, you confirm that you:
Are the authorized cardholder or have explicit permission to use the payment method.
Understand this is a medical service with no guarantee of prescription issuance.
Accept responsibility for shipping risks and pharmacy-related delays.
Agree to resolve disputes through our contact process before filing claims.
Acknowledge that medical consultations are non-refundable once performed.
Understand that all prescription medication sales are final.
Agree that subscription cancellations must be made at least five (5) business days before the scheduled billing date.
Acknowledge that GLP-1 therapy will follow the titration policy described above.
Agree not to publish or file false or defamatory statements or complaints against MDside PLLC in any forum.
Accept that this document represents our complete agreement and may be used as legal evidence.
Limitations: Our total liability is limited to amounts you paid in the preceding 12 months. We are not liable for indirect or consequential damages. If any provision is unenforceable, the remainder stays in effect.
